    i have solved it this way

    OH less acidic than COOH so OH will be quite more basic than COOH so OH's oxygen will attack on acid's hydrogen

I posted it way back but no one answered it at that time i solved it my self then and later i got it verified by my college professors they said its correct .. please check once what i send yesterday and if it's not ok please explain the way you have send me more better way..

    c=o is stable in COOH group so it will not be break to create a carbocation beacuse the charges will not b stable but if the H+ of HCl attack on OH group then the water elemination of water will take place which is stable ur approach is no right saurabh
